These Terms of Service ("Terms") govern your access to and use of the Capsule platform, website, and services (collectively, the "Service") provided by Capsule Technology, Inc. ("Capsule," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Terms

  • You are responsible for maintaining the security of your account credentials.
  • You must provide accurate and complete information when creating your account.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

3. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

  • Use the Service to distribute malware, viruses, or other harmful content.
  • Share content that is illegal, defamatory, harassing, or that violates the rights of others.
  • Attempt to gain unauthorized access to other accounts, systems, or networks.
  • Interfere with or disrupt the Service or its infrastructure.
  • Use the Service to transmit unsolicited communications or spam.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use the Service to circumvent export controls or sanctions.

4. Your Content

You retain all ownership rights to the documents and content you upload to Capsule ("Your Content"). By using the Service, you grant us a limited license to store, transmit, and process Your Content solely for the purpose of providing the Service.

Because Your Content is encrypted client-side, we cannot access, view, or analyze its contents. You are solely responsible for the legality and appropriateness of Your Content.

5. Intellectual Property

The Service, including its design, code, features, trademarks, and documentation, is owned by Capsule Technology, Inc. and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

6. Payment and Billing

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in these Terms. We reserve the right to change pricing with 30 days notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

If payment fails, we will attempt to charge your payment method again. After repeated failures, your account may be downgraded to the free plan.

7. Termination

You may close your account at any time from your account settings. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service.

Upon termination, your right to use the Service ceases immediately. We will delete your encrypted content within 30 days of account closure, unless retention is required by law.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. While we implement industry-standard security measures, no system is impenetrable, and we cannot guarantee absolute security.

9. Limitation of Liability

To the maximum extent permitted by law, Capsule Technology, Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, or goodwill, arising from or related to your use of the Service.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated terms on our website and, where possible, by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
